ClipReceipt Terms of Service

Effective date: 6 May 2025

Welcome to ClipReceipt! These Terms of Service ("Terms") are a legally binding contract between you ("you" or "User") and ClipReceipt ("ClipReceipt," "we," "us," or "our"). They govern your access to and use of the ClipReceipt website, web application, and email‑based market‑analysis newsletter (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, SUBSCRIBING, OR OTHERWISE USING THE SERVICE, YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT ACCEPT THE TERMS, DO NOT USE THE SERVICE.

1 · Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account or purchase a subscription.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2 · Your Account

Registration requires a valid email address and name via Supabase email signup or Google OAuth.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Notify us immediately at elijahderyaw (at) gmail (dot) com of any unauthorized use of your account.

3 · Subscriptions and Billing

Plans. ClipReceipt is offered as a paid subscription billed in advance on a recurring basis (e.g., monthly or annual) via Stripe. Plan details and pricing are disclosed at checkout.
Auto‑renewal. Unless you cancel, your subscription will renew automatically for the same term and the payment method on file will be charged.
Cancellation. You may cancel anytime from your account settings or by emailing support. Access to the Service continues until the end of the current billing period.
Refunds. Payments are non‑refundable except where required by law. We may, at our sole discretion, issue refunds or credits.

4 · License and Acceptable Use

4.1 Limited License

We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your internal business or personal purposes, subject to these Terms.

4.2 Prohibited Conduct

You agree that you will not:

Use the Service in violation of any law, regulation, or YouTube/Google policies.
Reverse‑engineer, decompile, or attempt to extract the Service’s source code.
Interfere with or disrupt the Service or its servers.
Misrepresent or falsely imply affiliation with ClipReceipt.
Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted.
Submit or transmit any malicious code, spam, or content that is unlawful, infringing, or defamatory.

5 · User Content

"User Content" means competitor channel URLs, IDs, or other data you submit.
You grant ClipReceipt a worldwide, royalty‑free license to process your User Content solely to provide the Service.
You represent that you have all rights necessary to submit User Content and that it does not violate any third‑party rights.

6 · Intellectual Property

The Service, including all content, software, and trademarks, is owned by ClipReceipt or its licensors and is protected by intellectual‑property laws. Except for the limited license in §4.1, no rights are granted to you.

7 · Third‑Party Services and Links

The Service relies on third‑party platforms (e.g., YouTube API, Stripe). ClipReceipt is not affiliated with or endorsed by YouTube, Google, or any competitor channels analyzed. Third‑party services are governed solely by their own terms and policies.

8 · Disclaimers

Informational Purposes. Reports and emails are provided for informational purposes only and are not financial, investment, or legal advice.
As‑Is. The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
No Guarantee of Accuracy. We use publicly available data and reasonable efforts, but we do not warrant that the analysis is complete, accurate, or current.

9 · Limitation of Liability

To the maximum extent permitted by law, ClipReceipt and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid to ClipReceipt in the 12 months preceding the claim (or CAD 100 if greater under applicable law).

10 · Indemnification

You agree to defend, indemnify, and hold harmless ClipReceipt and its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

11 · Termination and Suspension

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. You may terminate these Terms by cancelling your subscription and ceasing all use of the Service. Sections 6 – 10 and 12 – 14 survive termination.

12 · Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict‑of‑law rules. You and ClipReceipt agree to submit to the exclusive jurisdiction of the courts located in Ontario for any dispute arising out of these Terms or the Service.

13 · Changes to the Terms

We may update these Terms from time to time. Material changes take effect 7 days after we email notice to account holders. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14 · Miscellaneous

Entire Agreement. These Terms constitute the entire agreement between you and ClipReceipt regarding the Service and supersede any prior agreements.
Severability. If any provision is held invalid, the remaining provisions will remain in full force.
No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent; we may assign them without restriction.
